Role Purpose:

  • This role sits within Legal. This team/department contributes to the overall success of the business by ensuring the Company complies with all relevant laws and regulations.
  • Advising on a full range of transactions and corporate governance with a particular focus on corporate and shareholder transactions and PIC’s reinsurance agreements and associated collateral arrangements.
  • Providing strategic advice on a range of insurance regulatory compliance, risk management and reputational matters.
  • Working closely with external counsel and internal teams to review legal documents and ensure internal governance is followed.
  • Being part of the Company Secretariat in providing the Board with support and advice.
  • Assisting the General Counsel and Deputy General Counsel in providing advice to the Group

Specific accountabilities assigned to the role of Senior Legal Counsel (Corporate and Reinsurance):

  • Strategic level advice to the Group on a full range of corporate transactions
  • Advising on PIC’s reinsurance agreements and collateral structures and engaging with internal stakeholders and external counsel.
  • Advising on the Group’s constitutional arrangements with key shareholders.
  • Advice on legal aspects of corporate governance which contributes to the effective support of Committees, the Board and CEO.
  • Responsibility for reviewing contracts ranging from non-disclosure agreements to bulk annuities, commercial contracts/outsourcing agreements and investment management agreements.
  • Effectively collaborates with team members and wider stakeholders including supporting management of PIC Legal Panel.
  • Takes ownership for their own learning and development in both technical and non-technical skills of the Legal function.
  • Keeps informed of industry trends, market developments, regulatory changes in the public and private sectors, as well as best practices related to the sector by attending industry seminars, reading and sharing relevant published articles.

Requirements

Knowledge:

  • Expert technical proficiency in corporate law and governance within a regulatory framework
  • Good working knowledge of PRA Rulebook and FCA Handbook
  • Established knowledge of Solvency II/UK Solvency
  • Established knowledge of Companies Act 2006

Skills:

  • Application of legal knowledge with sound commercial judgement
  • Strong organisational skills
  • Strong communication skills
  • Ability to persuade and influence both directly and indirectly
  • Ability to work within defined procedures as recommended by functional teams
  • Good working knowledge of MS Access, MS PowerPoint, MS Word

Experience:

  • Significant post-qualification experience in corporate law within a leading private practice.
  • Advising on M&A transactions and shareholder arrangements
  • Advising on longevity swaps, funded reinsurance and associated collateral structures
  • Working with senior stakeholders
  • Preferably knowledge of UK capital markets (debt and equity)

  • Effective communicator – structures insights into clear messages and effectively engages others within business function, as well as internal stakeholders, professional and regulatory bodies.
