Job summary:

As the In-House Legal Counsel at AutogenAI, you will play a pivotal role in managing and streamlining our legal functions, working closely with the Commercial, HR, and IP teams, among others. Your expertise will support our growing operational and strategic demands by handling legal matters across multiple jurisdictions, including the UK, US, and Australia (supported by external expert counsel where required).

This role offers an excellent opportunity to gain exposure to high-impact areas like corporate governance, employee share schemes, and litigation management. This role will report into our Co-Founder and Deputy Global CEO and has a clear pathway for career growth long term.

What you'll be responsible for:

  • Commercial Contracts: Review and negotiate commercial contracts, ensuring compliance and safeguarding the company’s interests amid increased contract redlining and client-specific documentation requests.
  • Corporate Governance: Liaise with external corporate counsel (Wilson Sonsini) to manage board and shareholder consents and maintain compliance with corporate governance standards;, liaise with external company secretary to ensure accurate & timely companies house (and other) filings
  • Employee Share Schemes: Liaise with external counsel to ensure share option schemes are legally compliant; manage administration of employee share schemes across multiple regions, coordinating documentation, valuations, and compliance across UK, US, and Australia; and oversee procedural documentation for leaver agreements.
  • Employment Law Matters: Address legal aspects of employment, such as complex contractual queries, legal interpretation, and compliance with employment law in collaboration with regional HR teams (with external legal counsel support).
  • Intellectual Property (IP) Management: Maintain existing IP registrations, investigate and pursue new IP opportunities, and liaise with external counsel to seek advice on trademark considerations.
  • Litigation and Dispute Resolution: Oversee litigation strategy and resolution, liaising with external counsel on complex issues such as defamation, contractual disputes, and IP infringement cases.

What you'll bring to the team:

  • Commercial Awareness: Healthy appetite for risk with ability to provide practical legal and strategic advice that helps the business move forward at pace.
  • Analytical Rigor: Ability to parse and assess complex legal language in contracts, governance documents, and compliance regulations to protect AutogenAI’s interests.
  • Attention to Detail: A meticulous approach to documentation, contract review, and compliance, ensuring accuracy in high-stakes legal work.
  • Strategic Judgment: Adept at balancing legal counsel with commercial strategy, evaluating external advice, and determining the most prudent actions for the company.
  • Cross-Functional Collaboration: Strong skills in working with cross-departmental teams to align legal support with business goals, particularly with Commercial, HR, and Investor Relations.
Requirements
  • Experience: 4-6 years in corporate legal counsel or in-house legal roles, ideally with a broad focus that includes commercial contracts, corporate governance, or employment law.
  • Industry Knowledge: Familiarity with technology, SaaS, or a similarly fast-paced sector where legal agility is critical.
  • Technical Skills: Experience with managing, or appetite and aptitude to manage, compliance for multi-national employee share schemes.
  • Education: Qualified lawyer with a degree in law (LL.B or equivalent) and full professional accreditation in a relevant jurisdiction.

Bonus qualifications:

  • International Exposure: Experience handling legal matters in multiple jurisdictions, specifically the UK, US, and Australia.
  • Litigation Experience: Previous experience coordinating litigation or dispute resolution processes, with an ability to liaise effectively with external counsel.
  • Corporate Governance: Familiarity with corporate governance processes for investor and board approvals, including familiarity with HMRC, cap tables, and related compliance.
