ROLE PURPOSE
The Private Equity (PE) team are responsible for managing the Impax New Energy Fund series (NEF Funds). The Funds invest, or partner with, development companies which develop renewable energy projects, primarily wind farms, solar parks and hydroelectric.These are predominantly located in the EEA plus smaller amounts in the UK and USA.
The PE team is split into the transaction team and the asset management team. The teams work together closely with the transaction team focused on sourcing and acquisition of new investments, the asset management team is then responsible for working with the management of the companies acquired, or partnered with, to execute the business plan.Then towards the end of ownership period the transaction team will identify and negotiate our sale.
The overall objectives of the Asset management department include;- Taking over the operational responsibility for all investments. Effectively to act as the asset owner with support from the transaction team.
- Maintain proper procedures in the investments; regulatory and compliance requirements, monitoring contractual commitments, liability management and ensuring health & safety procedures are in place.
- Drive the performance objectives: Ensure that an investment is at least performing in line with the financial model presented at acquisition and seek to optimise or otherwise improve performance.
- Prepare for exit: Prepare and maintain the asset documentation in a state ready and accessible for exit.
KEY RESPONSIBILITIES:
KEY RESPONSIBILITIES
The key tasks of the Commercial Asset Manager are as follows:
- Management of financial reporting and tax compliance of investments
- Liquidity management of the investee companies including cash forecasting and optimisation of cash balances
- Managing requirements relating to the investee companies g. bank facility agreement requirements, insurance, verifications of inputs into valuation models and monitoring expenditure against annual budgets
- Investor reporting and maintaining and monitoring statutory and project deadlines and warranties
- Implementing, maintaining and optimising corporate structures including review of tax structures
- Assist the transaction team with handover of new investments and managing post-closing contractual requirements and the Operations Asset Manager in finding plant performance improvements
- Management of the Funds requirements for sustainability reporting, compliance and vendor management process for investments
SKILLS, KNOWLEDGE, EXPERIENCE:
KNOWLEDGE & EXPERIENCE REQUIRED- Experience in tax compliance and structuring (VAT, Corporation tax, Real estate, tax, etc)
- Reasonable understanding of financial models
- Team player
- Organisational skills and ability to manage different work steams
